Terms and Conditions

1. PREAMBLE AND BINDING AGREEMENT

This legally binding agreement ("Agreement") governs the access and use of the website operated by Apex Meridian Outpost LLC ("Company," "we," "us," or "our") and the purchase of any goods, systems, or materials ("Products") from the Company. By accessing the site, initiating a transaction, or utilizing any Product, the purchaser or user ("Purchaser," "you," or "your") expressly accepts and agrees to be bound by these Terms and Conditions in their entirety, without modification.

2. RETAILER STATUS AND DISTRIBUTED SUPPLY CHAIN

Purchaser explicitly acknowledges that Apex Meridian Outpost LLC operates as a retailer, curator, and distributor of Products manufactured and fulfilled by third-party entities. The Company is not the manufacturer of the Products. Any claims relating to manufacturing defects, material failures, or design flaws must be directed to the original manufacturer.

3. SHIPPING, RISK OF LOSS, AND ADDRESS CORRECTIONS

  • Risk of Loss: The Company utilizes a distributed third-party logistics network. All risk of loss, damage, and title for Products shall pass to the Purchaser upon delivery of the items to the shipping carrier (e.g., UPS, FedEx, USPS). The Company is not liable for packages lost, stolen, or damaged while in the custody of the carrier. Purchaser is solely responsible for securing their delivery location.
  • Address Accuracy & Fees: Purchaser is strictly responsible for providing accurate shipping information at checkout. If an address correction is required after the order has been processed or handed to the carrier, the Purchaser shall be responsible for any carrier-imposed correction fees (currently a minimum of $19.00 USD), which will be billed directly to the Purchaser.
  • Timelines: All shipping, handling, and delivery dates are approximate estimates and do not constitute a binding deadline.

4. PRODUCT SUBSTITUTIONS AND VARIATIONS

Due to the volatile nature of emergency preparedness supply chains, product shortages may occur at our fulfillment facilities. The Company and its fulfillment partners reserve the right to substitute individual components, brands, or products within a system with items of comparable function and value without prior notice. Purchaser acknowledges that minor variations in product appearance, brand, or specifications may occur, and such substitutions shall not constitute a breach of contract, false advertising, or grounds for a chargeback.

5. DAMAGED ITEMS AND COURIER CLAIMS

If an order arrives damaged, Purchaser must report the damage to the Company within 48 hours of delivery. To process any claim, Purchaser must provide clear photographic evidence of the damaged Product(s), all sides of the shipping carton, and the shipping label. Purchaser must retain all items and packaging until the claim is resolved. The Company will not issue refunds, replacements, or credits until the official courier claims process is fully completed. Failure to provide required evidence or premature disposal of packaging waives the Purchaser's right to any remedy.

6. STRICT PRODUCT USE LIMITATIONS AND ACKNOWLEDGMENTS

By completing a purchase, Purchaser agrees to the following stipulations:

  • First Aid and Utility Components: Strictly designated for auxiliary, non-clinical applications (e.g., minor superficial abrasions). They are not medical devices and are not intended to diagnose, treat, or manage severe trauma.
  • Nutritional and Hydration Provisions: Consumables are supplemental rations intended to support hydration and caloric intake during temporary service interruptions. Allergen Notice: Products may contain or be processed in facilities that handle wheat, soy, milk, eggs, tree nuts, and peanuts. The Company and its suppliers bear no liability for allergic reactions.
  • Thermal and Environmental Gear: Auxiliary tools intended for short-term thermal retention. They do not regulate core body temperature and will not insulate against severe weather conditions.

7. FORCE MAJEURE

Apex Meridian Outpost LLC shall not be liable for any delay, failure to deliver, or failure to perform its obligations if such failure arises from causes beyond its reasonable control, including Acts of God, severe weather events, natural disasters, supply chain collapses, carrier embargoes, or labor strikes.

8. EXPRESS ASSUMPTION OF RISK

Purchaser knowingly and voluntarily assumes all risks—both known and unknown—associated with the deployment, storage, and utilization of the Products. Apex Meridian Outpost LLC bears no responsibility for property damage, personal injury, loss of life, or emotional distress arising from the use, misuse, or failure of any Product.

9. DISCLAIMER OF ALL WARRANTIES (CONSPICUOUS NOTICE)

ALL PRODUCTS AND SERVICES ARE PROVIDED STRICTLY ON AN "AS-IS" AND "AS-AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, APEX MERIDIAN OUTPOST LLC EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

10. LIMITATION OF LIABILITY

UNDER NO CIRCUMSTANCES SHALL APEX MERIDIAN OUTPOST LLC, ITS MEMBERS, OFFICERS, EMPLOYEES, AFFILIATES, FULFILLMENT PARTNERS, OR SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE, OR EXEMPLARY DAMAGES. IN ALL CASES, THE COMPANY'S MAXIMUM AGGREGATE LIABILITY SHALL BE STRICTLY LIMITED TO THE ACTUAL DOLLAR AMOUNT PAID BY THE PURCHASER FOR THE SPECIFIC PRODUCT GIVING RISE TO THE CLAIM.

11. INDEMNIFICATION

Purchaser agrees to unconditionally indemnify, defend, and hold harmless Apex Meridian Outpost LLC, its officers, affiliates, fulfillment partners, manufacturers, and suppliers from and against any and all claims, liabilities, damages, judgments, or expenses (including attorneys' fees) arising out of Purchaser's violation of these Terms, Purchaser's misuse of the Products, or any claim brought by a third party utilizing Products purchased by the Purchaser.

12. DISPUTE RESOLUTION: MANDATORY ARBITRATION AND CLASS ACTION WAIVER

  • Binding Arbitration: Any dispute arising out of this Agreement shall be settled solely by binding, individual arbitration administered by the American Arbitration Association (AAA) in the State of Illinois.
  • Class Action Waiver: Purchaser and the Company expressly waive any right to litigate disputes in court before a judge or jury, or to participate in any class action.
  • Time Limitation: Any claim must be commenced within one (1) year after the cause of action accrues.

13. CHARGEBACK POLICY

Purchaser agrees to contact the Company to resolve any disputes before issuing a chargeback with their bank or credit card company. If a Purchaser initiates an unwarranted chargeback, the Company reserves the right to pursue reimbursement for the full original amount plus any administrative fees incurred by our payment processors or fulfillment partners.

14. CALIFORNIA PROPOSITION 65 WARNING

Products sold by the Company may expose Purchaser to chemicals known to the State of California to cause cancer, birth defects, or other reproductive harm.

15. SEVERABILITY AND GOVERNING LAW

If any provision is held unenforceable, the remaining provisions shall continue in full force. This Agreement shall be governed strictly in accordance with the internal laws of the State of Illinois.
